OIL LOG Technological Innovations Ltd. is seeking financing or an investor for its Two-Stage Positive Displacement Oil Pump (BDPDA) project in the “onshore” oil and gas segment.
The company is interested in partners such as OIL LOG, or alternatively an investor or joint-venture partner willing to invest in the technology being developed, for which a patent application has already been filed with the INPI.
If a suitable partner is interested, the proposal is to establish a third company representing the interests of the partnership formed between OIL LOG and the investing group.
Tax Strategy
OIL LOG has identified the United States as the preferred location for manufacturing and assembling the project, once an investor has been secured and the relevant agreements have been signed.
If the partnership proceeds, the intention is to establish an LLC or C-Corp in Delaware, USA, which would serve as the holding company controlling the operating/manufacturing subsidiary in Texas.
This structure is intended to improve tax efficiency and prepare the company for a potential IPO on Nasdaq or the NYSE.

USD 10 million would be financed or invested against the company's patent.
The investment would fund the manufacture of two prototypes.
The prototypes would undergo bench and field testing to validate the concept.
Testing and development would follow the required national and international certification standards.
The company believes the project offers significant potential for improved pumping efficiency and a competitive final price.
Its business model would focus on offering the equipment through leasing rather than requiring customers to make substantial upfront capital investments.
The company is targeting a niche representing approximately 15% of a market of 1.8 million oil wells, including PDP pumps, which it considers attractive and profitable.

Assim sendo, a proposta da OIL LOG, tão logo tenha identificado o Grupo Investidor interessado no seu projeto da BDPDA e, identificado os EUA como o melhor local para produzirmos e montarmos o projeto, pode firmar o contrato constando os pontos cruciais da estratégia tributária a ser adotada.
Se a decisão final for operar nos EUA, conforme entendemos ser a melhor opção, o modelo ideal seria constituir uma LLC ou C-Corp em Delaware (EUA) para atuar como holding, controlando a subsidiária operacional (fábrica) no Texas. Isso otimiza a eficiência fiscal e prepara a empresa para um IPO na Nasdaq ou NYSE.

USD 10,000,000 – Esse valor poderá ser financiado ou investido, ambos com a garantia da própria patente. O investimento será para a confecção de dois protótipos buscando a validação de sua concepção em teste de bancada e de campo, acompanhadas pela devidas Certificações em níveis nacionais e internacionais.
Portanto, diante destes fatos, consideramos o Cenário ideal (joint venture local), altamente promissor, pois temos um produto tecnicamente superior em eficiência e pulsação, com um preço final competitivo, levando-se em consideração um preço de locação final muito competitivo, onde não será necessária a descapitalização dos possíveis clientes, abrangendo um nicho de 15% do mercado de 1.800.000 poços globais, ativos e inativos (PD pumps) que é defensável e lucrativo.
